Choose the entity from the business plan, not from filing speed
A limited company suits businesses that will take investors, seek bank facilities, or contract with large counterparties, because share structure and directors' authority are clearer. A limited partnership costs less to maintain and fits a small family operation with no outside funding plan, while registering as a sole trader suits early-stage revenue where the accounting burden of a company is not yet worth carrying. Choosing wrongly does not stop the business; it raises the cost of restructuring later.
Where shareholders are foreign, the split must be tested against the activity itself: some businesses are restricted for foreigners and may need a foreign business licence, or relief under a treaty or investment promotion. Structuring through Thai holders who do not genuinely invest carries serious legal risk. We therefore assess the correct route on each client's real facts before filing anything.
The documents and decisions needed before filing
You will need at least three reserved names in order of preference, identity documents for every shareholder and director, the office address with proof of the right to use it such as a lease and the householder's consent, the capital and share count, and objects wide enough to cover what you will actually do over three years. The item most often overlooked is the directors' signing authority, which should balance day-to-day speed against risk control.
Set capital from three needs: the working capital the business truly uses, credibility with counterparties or landlords, and any capital threshold relevant to work permits for foreign staff. Setting it far above need creates a payment obligation on shareholders and affects certain fees, while setting it too low usually forces an increase within the first year, with its own procedure and cost.
Post-incorporation steps that decide how year one goes
Once the certificate issues the order is clear: open a bank account in the company's name and keep it strictly apart from personal accounts, obtain the tax identification number, register for VAT when the threshold or your customers' invoicing needs require it, register as an employer with social security on the first hire, and appoint a qualified bookkeeper. Mixing company and personal accounts is the hardest problem to unwind later, because it stops anyone telling which transactions belong to the business.
The other item to plan is activity-specific licensing — food, cosmetics, health establishments, tourism, transport, or services under their own statutes. Those licences typically test whether the objects in the certificate cover the activity and inspect the premises.
