BOI promotion

BOI promotion in Thailand: eligibility, permissions and compliance

BOI promotion is activity-specific. A project may receive tax or non-tax incentives, but the approval letter and certificate determine its conditions. Foreign-business permission, project land ownership and approvals for foreign personnel must be checked separately. Promotion does not exempt every company receipt from tax or authorise every activity the investor plans to carry out.

Short answer

Start with the BOI activity classification and the proposed investment. Not every promoted activity receives corporate income tax exemption; the period, cap and qualifying income depend on the awarded incentive. Assess foreign-business certification, land permission and foreign personnel applications individually. A processing estimate depends on project scope, document readiness and the authority reviewing it; it is not an approval deadline.

Eligibility is decided by what the company does, not by what it is called

The Board of Investment publishes activity groups rather than industries, and the classification your project falls into determines everything that follows: the tax holiday length, the minimum investment, the technology or skill conditions and the reporting burden. Two software companies with similar revenue can land in different groups because one develops its own platform while the other resells and configures somebody else's. Getting the classification right at the start is the single highest-value decision in the whole application.

We begin by writing the project description the way the committee reads it — what is produced, what value is added inside Thailand, what proportion of staff are skilled, what equipment is imported and what the three-year revenue path looks like. If the actual operation falls outside a promoted classification, discuss a different lawful route before commissioning a business plan.

Activities that commonly succeed include software and digital services, manufacturing with genuine local value added, regional headquarters and trading support functions, research and development, logistics and warehousing with technology content, and some healthcare, education and hospitality projects with specific investment thresholds.

The privileges, and what each one costs you in obligations

Corporate income tax exemption applies to income from the promoted activity only. That distinction sounds procedural until the first audit, when the Revenue Department asks the company to separate promoted income from non-promoted income across shared staff, shared premises and shared overheads. A promoted company therefore needs a chart of accounts designed on day one to keep the two streams apart, and an allocation policy that an auditor will accept. Use the certificate and tax guidance to establish which revenue and expenses belong to the eligible activity.

Duty relief on machinery and raw materials is granted against a specific list, and imports outside that list attract full duty. The privilege runs on deadlines: the machinery import period, the operation start date and the reporting cycle are all fixed in the certificate, and extensions must be requested before expiry rather than explained afterwards.

Foreign shareholding depends on the activity and the applicable Foreign Business Act permission or certificate. Land ownership under section 27 requires its own BOI approval for the authorised purpose; do not treat office, residence or project land as a blanket entitlement. Foreign personnel require the relevant position, immigration and employment approvals through the current channel for their category.

Annual compliance is where promotion is won or lost

Promotion is not a certificate you frame. It is a set of yearly obligations: reporting operating results, evidencing the investment actually made, evidencing the skilled headcount, keeping the promoted and non-promoted books separate, and filing corporate income tax returns that claim the exemption correctly with the supporting schedules attached. Failure to meet reporting or certificate conditions may lead to corrective requirements or loss of privileges under the applicable process.

Because our office holds both the legal file and the accounting file, the annual BOI report and the audited financial statements are prepared from the same underlying records. Reconcile differences between the operating report, ledgers and financial statements before submission.

For companies that already hold promotion and are unsure whether their bookkeeping supports it, we run a focused review: a sample of promoted and non-promoted revenue, the allocation of shared costs, the machinery list against actual imports, and the skilled staff records against the certificate conditions. Where there are gaps we correct them before an auditor or the Revenue Department finds them.

How the work runs, step by step

  1. Step 1

    Eligibility and classification review

We map the real business activity to the published activity groups, identify the privileges realistically available and confirm the minimum investment and skill conditions attached to them.

  2. Step 2

    Project preparation

Three-year business plan, investment schedule, machinery list, headcount plan with skill breakdown, and the supporting corporate documents from the parent or founders.

  3. Step 3

    Filing and interview

The application is filed online and defended at a project interview. We attend, and we prepare you for the questions the committee reliably asks about local value added and skilled hiring.

  4. Step 4

    Certificate acceptance and set-up

Within the acceptance window we complete the promoted company's registration or amendment, the separated chart of accounts and the machinery and staff registrations.

  5. Step 5

    Ongoing reporting

Annual operating report, investment evidence, skilled staff records, renewals through the applicable BOI, immigration and employment channels, and tax returns that claim the exemption with defensible schedules.

  • Parent company profile, audited financial statements and group structure chart where an overseas group is investing.
  • Three-year business plan with revenue, cost and investment projections.
  • Machinery and equipment list with indicative prices and country of origin.
  • Headcount plan separating skilled and general positions, with indicative salaries.
  • Evidence of technology, licences, patents or proprietary systems the project relies on.

Where things usually go wrong

Promoted and non-promoted income mixed in one ledger

Mixed records can make an exemption claim difficult to substantiate. Reconcile promoted income and shared costs; do not assume every receipt is exempt or that every discrepancy has the same tax consequence.

A business plan written to impress rather than to be met

The certificate turns your projections into conditions. Check the investment and personnel conditions actually imposed rather than treating every projection as a statutory commitment.

Machinery imported outside the approved list or after the deadline

Duty relief is list-bound and time-bound. Apply within the required time and confirm any extension with BOI; a request does not guarantee approval.

Assuming promotion removes ordinary obligations

A promoted company still files VAT, withholding tax, social security and an audited annual statement on exactly the same calendar as everyone else.

Questions foreign clients actually ask us

How long does BOI approval take?
The review path depends on investment size, activity, completeness and requests for clarification. Ask for a case-specific estimate after the project is classified. Published administrative service periods are not a guarantee that a project will be approved by a fixed date.
Does BOI promotion mean I pay no tax in Thailand?
No. Corporate income tax exemption covers income from the promoted activity for the granted period. Value added tax, withholding tax, social security contributions, personal income tax for staff and specific business taxes continue to apply, and non-promoted income is taxed normally.
Can I apply before the Thai company exists?
Yes. Many investors apply first and incorporate the promoted company after approval, which avoids restructuring an existing shareholding. If a company already exists, we amend its shareholding and objectives during the certificate acceptance window instead.
What happens if the project misses its investment or hiring targets?
Report the shortfall and request an amendment. Any amendment or extension needs the relevant approval. Consequences depend on the certificate, the breached condition and the authority decision; repayment of previously used incentives may be relevant but is not automatic for every shortfall.

Send us a short description of the activity, the intended investment and the roles you need to fill. Staff can assess the classification, the supporting evidence and alternative permissions. Contact our team for a quotation. Approval and the available incentives remain matters for the authorities.
